These Terms of Service and Music Distribution Agreement (the “Terms”) are an agreement between Songrac, Inc., a Delaware corporation (“Songrac,” “we,” “our,” or “us”), and the individual or organization that uses Songrac (“you” or the “User”). These Terms govern our website, User accounts, subscriptions, Artist Slots, Song Credits, artist profiles, public Artist Link Pages, music submission and distribution, royalty administration, and related features and support (the “Services”). Please read these Terms before opening an account or submitting music.
Important commercial terms
- Registration and preparing drafts are free. When you submit your first release, a $39 annual Songrac user account subscription activates your account. It includes one Artist Slot and 12 complimentary Song Credits, granted once per account. Each additional Artist Slot costs $12 per year and includes no additional Song Credits.
- The account subscription and additional Artist Slots renew automatically each year unless canceled. Canceling prevents future renewals but normally preserves access and the active commission terms through the paid period.
- Song Credits are shared across Artists on the account, cost one credit per submitted track, and never expire. There is no unused-credit accumulation cap. The initial 12 complimentary credits are not granted again at renewal. Additional credits may be purchased for $4 each as one-time purchases.
- While the account subscription is active, Songrac charges no percentage distribution commission of its own on eligible streaming and download royalties. This does not eliminate upstream distribution deductions or a separately disclosed service fee. The social monetization share is 30%.
- When a subscription lapses after its paid period or applicable payment grace period, music ordinarily stays live. Songrac retains 15% of eligible streaming and download royalties remaining after the disclosed service fee; the 30% social monetization share does not increase.
- The 15% rate is based on the account’s status when Songrac receives or is credited with the relevant royalty payment, not when streams or downloads occurred. Payments received after a lapse can therefore be subject to 15% even if the activity occurred during a paid subscription.
- All account royalties are payable to the User, not to individual Artists or collaborators. The User is responsible for paying them.
1. Accepting these Terms and authority
You must be at least 18 years old and at least the age of legal majority where you live to hold a User account. By accepting these Terms when prompted, including at paid account activation, or by using the Services after being presented with these Terms where enforceable by law, you agree to the provisions applicable to your access. The first paid release submission requires a separate confirmation of the applicable charge and automatic renewal terms. Each music submission requires the rights and content confirmations described below. An invited Artist Login is subject to the terms applicable to its permitted access.
If you act for a label, business, artist, group, rights holder, or other organization, you represent that you have legal authority to act for and bind that party. An Artist who accepts an invitation to view their catalog does not thereby assume the User’s subscription fees or the User’s obligations to pay collaborators.
Our Privacy Policy explains how personal information is processed. It provides notice and does not constitute consent to unrelated processing where consent must be separately obtained.
2. Accounts, Artists, eligibility and security
A “User” is the account holder responsible for the Songrac account, subscription, music submissions, and royalty relationship. An “Artist” is a performer or group associated with submitted music. An “Artist Slot” is an annual entitlement that allows an account to distribute music for one Artist. A “Song Credit” is one unit used when one track is submitted for distribution. A “Release” is a single, album, or other collection of tracks. “Digital Services” include authorized streaming, download, video and social platforms. An “Artist Link Page” is a publicly accessible promotional page for an Artist made available through Songrac.
You must provide a full legal name and maintain accurate email, mobile number, country and other information reasonably required for account security, lawful distribution, billing, royalty administration, tax or compliance. Email and mobile verification are required before a User can create or submit releases or add Artists or writers. Except with our express authorization, an email address and mobile number may be associated with only one Songrac login, including Artist Logins. You may not use another person’s contact information without permission.
Registration is permitted only in countries Songrac makes available. Registration, distribution into a particular store, and the ability to receive royalty payments are separate forms of eligibility. We may restrict account opening, paid submission, or payment where a lawful and functioning service or payout path is unavailable. We may require additional identity, beneficial ownership, tax, and sanctions checks. You must not use the Services where prohibited by trade sanctions or applicable law.
You are responsible for protecting your login credentials and for actions by persons you authorize, subject to applicable law and Songrac’s own obligations. Notify us promptly if you believe your account has been accessed without authorization. We may use additional authentication or security checks.
A User may grant an Artist limited access to manage that Artist’s permitted catalog and public Artist Link Page. An Artist Login cannot view royalty statements, payouts, billing, account financial information or private collaborator splits. The User remains responsible for the content and actions of people the User authorizes, subject to applicable law. The User represents that they have permission to distribute each Artist’s music and to use and publish the Artist’s name, identity, photographs and promotional materials. The User is responsible for informing and obtaining the necessary permissions from Artists and collaborators whose information is supplied.
3. Free registration and paid activation
Registering a User account, creating drafts and preparing an Artist profile are free. Before activation, the account may hold up to 10 Artists and up to 10 draft Releases; these limits help prevent misuse. The subscription and additional Artist Slots or Song Credits cannot be purchased before account activation. We may place a temporary card authorization of approximately $1 to verify an eligible payment card. It is not a subscription charge; the issuer controls when any authorization hold disappears.
Activation occurs when the User submits the first Release, reviews the payment confirmation, expressly accepts the applicable Terms and annual renewal terms, and successfully pays the $39 annual Songrac user account subscription plus any additional Artist Slots or Song Credits required for the submission. The subscription year begins on that successful payment date. The $39 charge is for the account subscription, not for an individual song. If payment fails, the subscription does not start and the Release is not submitted for distribution.
4. Account subscription, Artist Slots and annual renewal
The Songrac user account subscription costs $39 per year, in US dollars, and includes one Artist Slot and a one-time award of 12 complimentary Song Credits. Each additional Artist Slot costs $12 per year and includes no Song Credits. An account distributing music for more than one Artist needs a separate Artist Slot for each additional Artist. If more than one Artist has been added before the first paid submission, the first charge also includes the extra Artist Slots required for those Artists at the displayed rate. Applicable taxes are shown before payment. No graduated Artist Slot pricing applies.
The account subscription and any additional Artist Slots renew annually on the same renewal date, measured from the first successful activation payment. An Artist Slot added later in the subscription year is charged at the disclosed prorated price through the common renewal date and renews at the then-applicable annual price. Before purchase, we display the amount to be charged and the recurring terms. Songrac may change prices for future renewal periods after applicable notice but will not retroactively change a paid period. Purchased Song Credits are one-time purchases and do not increase the annual subscription obligation.
Before charging a recurring subscription, Songrac will provide the annual amount or a clear method of calculating it, billing frequency, automatic renewal terms, cancellation method, and other material conditions. We provide a retainable payment and renewal acknowledgment and legally required renewal or pricing notices. For annual renewals subject to a 15-to-45-day reminder window, the notice will be sent within that window; different applicable legal requirements will be honored. The User is responsible for maintaining a valid payment method and current contact email.
5. Song Credits
The account receives 12 complimentary Song Credits once, on its first successful paid activation, regardless of how many Artists it manages. Additional Artist Slots and subscription renewals do not award any new complimentary credits. One Song Credit is used for each track submitted for distribution, whether as a single or part of an album or compilation. Credits are pooled across all Artists on the account. Creating or editing a draft uses no credits. An album or compilation may contain up to 30 tracks through the standard workflow; requests involving more tracks may be directed to support.
Unused Song Credits do not expire. There is no cap on the amount of unused credits an account can retain, including credits originally granted at activation and credits purchased later. Credits remain recorded when a subscription is canceled or lapses and can be used again after the account has the subscription and Artist Slots necessary for a new submission. Credits are not cash, cannot be transferred between unrelated accounts, and are not redeemable for money, except where applicable law requires otherwise.
After activation, additional Song Credits may be purchased for $4 each as a one-time charge. They do not add to annual subscription fees and never expire. If a Release is declined or fails to distribute, credits consumed by that Release are restored when the User deletes the failed Release as required by the applicable workflow. Songrac may also restore credits following a good-faith error that leads to a decline or takedown. We may deny restoration for deliberate, fraudulent or repeated bad-faith submissions. Mandatory consumer, refund or unclaimed-property rights remain unaffected.
6. Failed payments, cancellation and refunds
You may cancel future automatic renewal through the Cancel subscription control in your account, including when a payment is overdue. We will provide confirmation and the date the cancellation takes effect. Cancellation generally preserves the active subscription and the ordinary streaming/download commission terms through the end of the paid period. While cancellation is pending, you may continue to use the features available in your paid period, but cannot purchase additional Artist Slots or Song Credits unless you reinstate the subscription. You may reinstate through the available account process. Valid cancellation requests made through Songrac support or the payment provider receive the same paid-through treatment, subject to applicable law.
A failed automatic renewal does not immediately cause a lapse, take down music or increase the commission. Songrac will notify you of the payment problem and provide an applicable grace period to update your payment card, during which ordinary access and commission rates continue. If the payment remains unpaid when that grace period ends, the account becomes Lapsed. Subscription status and rights do not depend solely on a payment processor’s retry schedule.
Canceling does not automatically produce a refund for any paid term, one-time credit purchase or completed service. If you are a new subscriber and determine that Songrac is not suitable, you may request a goodwill refund through support; we will review it in good faith. If your music is already live, Songrac may require its takedown before considering such a refund. A legitimate Release later taken down at the User’s request does not, by itself, qualify for a refund of the Song Credits used or distribution services performed. We do not provide routine prorated refunds, except where required by law or expressly agreed in writing. Nothing in these Terms limits nonwaivable consumer cancellation, withdrawal, refund or chargeback rights.
7. Music royalties and service fees
Digital Services pay streaming, download, and other monetization proceeds to one or more distribution and royalty accounting partners. These partners report earnings and remit or make funds available to Songrac using financial arrangements approved for the Services. Songrac maintains an account-level royalty ledger and determines the amount payable to the User after applicable reported adjustments, disclosed charges, commissions, and legally required deductions. Statements may be issued and corrected after the underlying music use occurs; the account ledger may include later positive or negative corrections. We do not independently audit every Digital Service report.
7.1 Streaming and download royalties
While the account subscription is active, including an applicable payment grace period, Songrac charges a 0% percentage distribution commission of its own on eligible streaming and download royalty receipts. Songrac’s upstream distribution partner currently retains 5% of streaming royalty proceeds before remitting them. Therefore, “0%” refers only to Songrac’s percentage commission and does not mean that 100% of gross store royalties are received or paid out. The separately disclosed service fee, upstream adjustments, taxes or other permitted charges may also affect the account’s net earnings.
7.2 Bundled service fee
A bundled service fee may be deducted for royalty collection, conversion, settlement, payout and related administration only to the extent its amount or objectively calculable formula, base and timing have been disclosed in the applicable Fee Schedule before the deduction applies. Until a fee is properly disclosed, no such fee will be deducted. Songrac may change the Fee Schedule prospectively with legally required notice, but will not apply newly announced fees retroactively to royalty receipts already accounted for. Your dashboard may show consolidated net earnings, and Songrac will provide enough information for a reasonable explanation of the calculation on request. For Lapsed streaming and download royalties, the service fee is deducted before Songrac calculates its 15% commission.
7.3 Social monetization
Where available and authorized, social and user-generated-content monetization may be offered through Meta, TikTok, YouTube Content ID and SoundCloud, subject to rights, distribution partner access and platform rules. Songrac retains 30% of eligible social monetization receipts and the User is allocated the remaining 70%, subject to the separately disclosed service fee, taxes and valid statement adjustments. Any distribution partner share of the social monetization percentage is included within Songrac’s 30%, not added as another percentage charge. The 30% share is unchanged when the account is Lapsed; Songrac does not stack the 15% Lapsed streaming/download commission onto social receipts. No particular social platform or monetization feature is guaranteed for every Release.
Social monetization can involve audio matching, fingerprinting, platform claims, and licensing or monetization of user-generated videos. You authorize such processing only for features applicable to your releases and rights, subject to the choices actually made available in your account. You must have rights sufficient for any elected content identification or monetization feature and must not maintain conflicting exclusive claims to the same content, territory, or service.
7.4 Corrections, disputes and withholding
Store and partner statements may contain delayed reports, corrected usage, reversals, artificial-streaming penalties, taxes, refunds, and other adjustments. Songrac may adjust the User ledger to reflect documented and attributable corrections and may recover an actual overpayment or apply lawful offsets against future royalties. We will not allocate one User’s unrelated losses to another User. If ownership, fraud, sanctions, or a material legal claim is reasonably in dispute, Songrac may temporarily hold only sums reasonably connected to the identified risk, except where a broader hold is legally required or imposed by a Digital Service. We will review such holds, permit a reasonable inquiry or challenge where practicable, and release amounts when the basis for holding them ends.
8. Lapsed subscriptions and commission timing
An account becomes “Lapsed” after a canceled subscription reaches the end of its paid term, or an unpaid renewal remains unresolved after the applicable payment grace period. An account does not become Lapsed merely because a cancellation was requested during a paid term, or because the first attempt to renew a card failed.
Music ordinarily remains available on Digital Services when a subscription lapses, subject to store requirements, takedown requests and other lawful enforcement rights. While Lapsed, the User cannot submit new music or purchase Artist Slots or Song Credits until the account is reactivated, but can use the supported catalog, reporting, support, takedown and royalty access features made available for Lapsed accounts.
While Lapsed, Songrac retains 15% of eligible streaming and download royalties remaining after the royalty service fee, and 85% of that post-fee amount is allocated to the User, subject to valid adjustments and taxes. The 30% social monetization share does not change and is not increased by an additional 15%.
The commission for a royalty payment is determined by whether the account is Active or Lapsed when Songrac actually receives or is credited with that royalty payment from the distribution partner. It is not determined by the date the streams or downloads occurred. Because Digital Services pay in arrears, money received after lapse may relate partly or entirely to activity that occurred while your subscription was paid. That receipt will still attract the 15% lapsed commission. Payments received while active, or during the payment grace period, retain the 0% streaming/download commission. Renewing a lapsed subscription restores the active commission for new royalty payments received on or after successful reactivation. A later adjustment to a previously accounted payment ordinarily retains that payment’s original commission treatment unless it is a separate new receipt.
Songrac may introduce a documented dormant-catalog policy for inactive music on Lapsed accounts, providing reasonable advance notice and an opportunity to review or request takedown where appropriate. Until the inactivity criteria and notice period are disclosed and implemented, lapse alone does not trigger automatic removal merely because music is inactive. Songrac may still refuse, suspend or remove material earlier where required by law, rights enforcement, platform rules or these Terms.
9. Royalty payout administration
Songrac may use third-party banks, payment processors, or payout services to administer royalty payments. A particular provider, type of financial account, ownership or custody arrangement, escrow, trust status, deposit insurance, or worldwide payout coverage is not promised by these Terms. Songrac is responsible for accounting for sums properly due under the contract regardless of the provider used.
Songrac pays royalties to the User account holder only, through one eligible payout destination per User. It does not pay invited Artists, writers, publishers, producers, or other collaborators separately. The User is responsible for all payments due to those parties under their own agreements and applicable law. Catalog split data is attribution or internal recordkeeping information unless Songrac separately offers and the User accepts a direct-split payment service.
To receive royalties, the User must complete any required identity, tax and payout verification and provide a destination in a country for which Songrac has an available lawful payout arrangement. Payment or bank details may be collected directly by a payout provider; Songrac may receive masked bank information, payment identifiers, verification results and transfer records. Creating a Songrac account does not itself guarantee that royalty payouts will be available in every country. Songrac may restrict or close accounts where a functioning lawful payout destination is unavailable.
Songrac processes eligible royalty payments based on receipt of distribution partner statements, reconciliation of amounts and the payout conditions disclosed in the account. Your account may be asked to complete payout setup after an initial period following the first live Release, and first royalty earnings commonly arrive several months after release because Digital Services report and settle in arrears. No particular first-payment date is guaranteed. We will display any applicable payout threshold and schedule before transfers become available. Balances below a lawful threshold remain recorded and are not forfeited. A payment provider may affect delivery timing. Songrac remains accountable for legitimate royalty balances even when payout integration is not yet available and will not treat delay or a subscription lapse as forfeiture.
10. Ownership of music and worldwide license
As between you and Songrac, you retain ownership of rights that you lawfully own or control in your recordings, music compositions, artwork, artist identity, metadata and other content you submit (“Submitted Materials”). Songrac is not your record label, music publisher, employer, general agent or manager merely because you use the Services.
You grant Songrac a worldwide, nonexclusive, sublicensable license, without a separate up-front copyright license fee, for the period your releases are submitted, distributed or being wound down, to reproduce, host, store, encode, transcode, adapt formats, deliver, transmit, make available, license, stream, display and otherwise use the Submitted Materials as reasonably necessary to distribute and monetize them through your selected or authorized Digital Services. Songrac may authorize its distribution partners, Digital Services and their operational vendors to carry out those functions. The license covers previews, clips, technical copies, search and metadata indexing, cover artwork display, credits, playlist inclusion, ordinary promotion of a release, fingerprinting and rights matching needed for an authorized monetization feature, and related royalty reporting.
This license does not transfer your copyright to Songrac. It does not permit Songrac to create unrelated new recordings from your music or use your private catalog to train a third-party generative AI model outside the contracted Services without a separate lawful authorization. Following takedown, the license continues only as necessary for reasonable store processing, past authorized uses, reports, settlements, legal recordkeeping and dispute resolution. Digital Services can maintain some lawful records or previously purchased/downloaded copies outside Songrac’s control.
Digital Services control their own acceptance, territory, content rules, storefront presentation, pricing and accounting. Songrac does not guarantee inclusion in any store, release timing, specific performance, monetization, playlist placement or earnings. Songrac may replace its underlying distribution partners without transferring ownership of your content and without a duty to disclose confidential supplier contract details except where law requires.
11. Rights warranties, samples, covers and AI
For each Release you submit, you represent and warrant that you own or are duly authorized to license every right needed for worldwide delivery and the selected monetization features. This includes master recordings, underlying musical compositions, lyrics, samples, beats, interpolation, performances, artwork, artist names and likenesses, cover versions, translations, and third-party promotional material. You must have all licenses, clearances and consents required in relevant territories and provide reasonable evidence if requested. You must accurately identify artists, composers, writers, publishers and applicable ownership shares and not knowingly submit misleading metadata.
Cover versions, new versions, public-domain claims, remixes, mashups, samples and derivative recordings may require extra information and licenses depending on the territory, format and platform. Songrac may decline or temporarily disable categories of submission that it cannot lawfully or technically process, including cover recordings, without promising that any particular category is available. Where an eligible category is offered, required metadata and clearances must be accurate. Songrac does not independently verify all data and does not warrant that its submission workflow supplies missing publishing, mechanical or master-use rights. You remain responsible unless a separate written agreement expressly states otherwise.
You must truthfully identify AI-assisted or AI-generated components of the composition, recording, voice or artwork when requested during submission, and comply with the relevant Digital Service’s rules. You must not imitate a real person's voice or identity without the necessary permission, falsely represent authorship, infringe protected material, or submit AI content for deceptive or artificial engagement manipulation. A service may reject or remove content even where you provided accurate disclosure.
For each Release, the submitting User must confirm that they own or control the rights needed to release the music, and accurately disclose AI involvement, samples and required licenses, and contributor credits. The declarations are retained with time and applicable wording or version for a proportionate period needed for contractual, rights and legal purposes, as described in the Privacy Policy. Songrac does not independently certify ownership from a User’s declaration.
Writer and publisher names, performance rights organization details, IPI and ISNI identifiers and other credit data may be matched against or reused with shared records maintained by a distribution partner. Information entered for a collaborator must be accurate, and conflicting identity or ownership data may delay or prevent a submission while we seek clarification. The User must not submit another person’s data without a lawful basis, required notices and appropriate authorization.
12. Fraud, disputes, store penalties and enforcement
You may not manipulate streams or downloads through bots, click farms, fake accounts, misleading promotions, or similar methods. You may not impersonate others, distribute infringing music, falsify rights metadata, circumvent platform safeguards, attempt unauthorized access, use the Services for money laundering, evade sanctions or submit malicious material.
If a rights holder, Digital Service or other credible source identifies potential infringement, inaccurate rights or contributor information, artificial streaming, impersonation or other violations, Songrac may request documents, decline or remove a Release, temporarily restrict submission or relevant payouts, and cooperate with lawful investigations. When practical and lawful, we will explain the concern and allow the User to respond. Songrac may recover verified overpayments or actual penalties attributable to a User’s breach, but will not impose unrelated losses or undisclosed fixed penalties.
A Release declined or taken down for rights or factual accuracy reasons counts as a strike under Songrac’s two-strike policy, whether the submission was described as original, a cover or a public-domain work. For a first strike, we issue an email and in-app notice warning that another strike will suspend new submissions. On the second strike, the account is suspended from submitting additional music pending manual review by Songrac. Songrac may restore a consumed Song Credit for an honest mistake; repeated or deliberate misuse may result in loss of that restoration benefit. We reserve separate rights to act immediately when legally required or necessary to address serious fraud, infringement, safety or security risks. We will not automatically confiscate valid royalty balances simply because submission access is restricted.
13. Takedowns and release changes
You may request removal of your music using the available account controls or support channels. Songrac will submit valid removal requests within a reasonable operational period; each Digital Service determines actual processing time. Takedown does not ensure deletion from listener libraries, prior purchases, caches, third-party posts or historical reports. Moving music between distributors or changing identifiers may affect statistics, metadata, links and availability. Removing music does not automatically cancel your subscription or generate a refund.
14. Copyright complaints and repeat infringement
Copyright owners or authorized agents may send written infringement notices to Songrac’s designated copyright contact at copyright@songrac.com. Notices under the US Digital Millennium Copyright Act should identify the copyrighted work, the allegedly infringing material and location, the complainant’s contact information and signature, and the required good-faith and accuracy/authority statements. Additional registered designated-agent contact details will be made publicly available as required by law. Songrac may seek reasonably necessary clarification and will respond according to applicable law.
Where appropriate, Songrac will remove or disable access to material and inform the relevant User. A qualifying counter-notice may be submitted to the designated copyright agent and must contain the information required by law, including signature, identification, a declaration under penalty of perjury, and appropriate consent to jurisdiction and service. Restoration is governed by statutory conditions and any applicable court action. Songrac maintains a repeat-infringer termination policy and accommodates qualifying standard technical measures. The two-strike submission-review process is a separate operational policy and does not limit statutory takedown obligations.
15. Public Artist Link Pages, third-party services and Ringo
15.1 Public Artist Link Pages
Songrac may host public Artist Link Pages on the Songrac domain that the User and an authorized Artist Login can manage for the relevant Artist. The pages may be available to fans worldwide, including people who have no Songrac account, and may be indexed by search engines, shared on social media and copied or archived by third parties. The User is responsible for the content and settings of pages managed through the account, including text, images, Artist names, promotional statements and links added by authorized Artists. Users and Artist Login holders must have the rights, consents and permissions necessary to publish that material and must not post false endorsements, unlawful content, infringing material, malicious links or misleading information. Songrac may review, disable or remove a page or link that violates these Terms, third-party rights or law.
A public Artist Link Page may direct visitors to independent streaming services, social platforms, ticketing sites or other websites. These destinations operate under their own terms and privacy practices. Songrac does not control their content, availability, pricing, sales, fan relationships or privacy practices and does not guarantee transactions or outcomes arising from those external links. The User and Artist are responsible for their own off-platform promotions, claims and interactions. The page is promotional and does not make Songrac the Artist’s manager, promoter, ticket seller or seller of third-party goods.
The current public Artist Link Page feature does not include a promised pre-save campaign, fan mailing list, fan account, or Artist-facing fan analytics service. If Songrac later offers additional fan data collection or interactions, the applicable privacy notices and specific service terms will describe them before they are enabled.
15.2 Registration assistance and Ringo
Songrac may offer shortcuts or prefilled information to help you register works with The MLC, ASCAP, BMI, SoundExchange or similar organizations. Unless Songrac separately agrees otherwise, you submit the registration yourself under that organization’s rules, and Songrac does not become your publisher, registration agent or royalty collection representative for those organizations. Ringo is an automated assistant and may be inaccurate. It does not provide legal, accounting, licensing, financial or tax advice. Prompts and relevant authorized account context may be processed by an AI provider as disclosed in the Privacy Policy. You remain responsible for verifying important information and rights submissions.
16. Platform intellectual property and feedback
Songrac and its licensors own the software, platform design, business identifiers, trademarks, documentation and other elements of the Services, excluding your Submitted Materials. We grant you a limited right to use the Services in accordance with these Terms. You may not copy or reverse engineer the platform except as permitted by mandatory law. We may use voluntary product feedback to improve the Services without acquiring rights in your music or private catalog.
17. Service availability, suspension and termination
Songrac may change features, service providers and Digital Service integrations for security, legal, operational or licensing reasons. Where reasonably possible, we will give notice of material changes to a paid service. We may suspend or terminate access following a material breach, credible infringement or fraud, legal prohibition, serious security risk, or a relevant store or distribution partner requirement. We will use proportionate action where practicable. Termination does not eliminate legitimate outstanding royalty obligations, mandatory rights, valid takedown responsibilities, or record retention permitted by law.
18. Disclaimers, limitation of liability and indemnity
To the maximum extent lawful, the Services are provided on an “as available” basis. We do not guarantee uninterrupted access, release approval, uninterrupted store listing, placement, particular stream counts or specific earnings, or the accuracy and availability of independent third-party reports.
To the maximum extent lawful, neither Songrac nor its authorized service suppliers are responsible for indirect or consequential losses, including lost commercial opportunities or profits, arising from use of the Services. Songrac’s aggregate liability under these Terms is limited to the greater of $100 or the fees the User actually paid Songrac for subscriptions and platform services in the twelve months preceding the event giving rise to the claim. This limit does not remove Songrac’s separate obligation to account for and pay lawful royalty amounts owed, or purport to exclude liability that cannot be limited by law, including applicable fraud, intentional misconduct, personal injury or statutory privacy remedies.
To the extent permitted by law, the User will indemnify Songrac and its personnel and authorized distribution providers for reasonable third-party claims and documented costs caused by the User’s infringing materials, material rights warranty breaches, fraud or breach of third-party collaborator payment obligations. Songrac will give reasonable notice and an opportunity to participate in defense arrangements, subject to legal obligations. The User does not indemnify Songrac for Songrac’s own independent wrongdoing.
19. Governing law and dispute resolution
Delaware law governs these Terms to the extent it may lawfully apply, without overriding nonwaivable consumer, copyright, privacy or other protections in a User’s country or state. The parties will normally seek to resolve concerns through Songrac support or legal contact for 30 days before litigation, except where immediate action is reasonably required or mandatory law provides otherwise. Subject to mandatory rules, disputes involving business Users may be brought in a court of competent jurisdiction in Delaware. These Terms do not impose mandatory arbitration or a class action waiver. You may complain to relevant regulators or enforce rights that cannot lawfully be waived.
20. Changes to these Terms and general provisions
We may update these Terms prospectively. Material changes will be disclosed by an appropriate direct notice and, where law requires, affirmative consent. A material change to royalty rates will not be applied retroactively to payments already received under an earlier rate. If a future change is unacceptable, you may cancel renewal and request catalog removal, subject to existing obligations and rights. We may assign our contract as part of a legitimate merger or business transfer consistent with law; you may not transfer account rights or others’ copyrights without authority and any required consent. Invalid provisions are severed where possible; failure to enforce a term is not a waiver. These Terms, the checkout terms and any service-specific addenda you separately accept constitute the applicable agreement. Nothing restricts nonwaivable consumer rights.
21. Contact and legal communications
Songrac, Inc. provides the Services. For account, payment, cancellation or refund support, contact support@songrac.com or use the Support function on our website or within your account. Formal copyright notices may be directed to the registered Copyright Officer at copyright@songrac.com; the other designated-agent contact details must be publicly available as required by law. For legal and privacy requests, use the Support function or support@songrac.com. We may send important notices to the verified account email.
